What it costs to file in Minnesota
Every number below is read directly off the Secretary of State's published fee schedule. Nothing here is estimated.
By mail — cheapest, processed first-come first-served, no expediting.
Online — $20 more for most filings. Expedited, typically 2–5 business days, documents returned by email.
In person — by appointment at the St. Paul counter. Expedited and processed while you wait; you leave with filed documents in hand.
The premium for online filing is real but small, and it buys both speed and a confirmation you can forward to a bank. If you are opening a business account this week, pay it.

What these fees do not cover
- Newspaper publication for an assumed name. Minn. Stat. § 333.01 requires publication in a qualified newspaper for two successive issues. The paper bills you separately, and rates vary widely by county.
- Registered agent services. Optional. You can be your own agent if you have an actual Minnesota office address — a post office box alone will not do.
- Federal filings. An EIN from the IRS is free. Tax-exempt status, trademark registration with the USPTO, and any securities filings are separate and are not state fees.
- Local licensing. City and county licenses, zoning, and permits are entirely separate from anything the Secretary of State charges.
The renewal trap
For most entity types the annual renewal fee is $0 — but the filing is still mandatory. Miss it and the Secretary of State dissolves or terminates the entity, and getting it back costs $65 by mail or $85 online, plus a late penalty of up to $40 under Minn. Stat. § 5.60. An entity inactive for more than six years cannot be reinstated online at all.
Two exceptions worth committing to memory: a limited liability partnershippays $135–$155 every year, and an out-of-state corporation registered in Minnesota pays $115–$135 every year. Minnesota LLCs and corporations pay nothing.
